Terms of Service

Effective date: October 17, 2026

These Terms of Service ("Terms") are a binding agreement between you and Regulars Kit, a product of Jailton Cardoso, a business owner based in Brazil (CNPJ 37.200.262/0001-00) ("Regulars Kit," "we," "us," or "our"). They govern your use of regularskit.com, The AI Client Toolkit (the "Toolkit"), Regulars Promo at regularskit.com/app ("Promo"), the free calculator, the support chat, and any related content, emails, and services (together, the "Services").

By buying, signing in to, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a business, you confirm that you are authorized to bind that business, and "you" includes that business.

1. Eligibility

The Services are intended for small local businesses in the United States and their owners and staff. You must be at least 18 years old and able to form a binding contract. Anyone under 18 may not use the Services.

2. The Services

• The AI Client Toolkit is a web library of SMS and email message templates, ChatGPT prompts, a quick-start guide, a weekly plan, a seasonal calendar, a lost-revenue calculator, and a list of third-party tools, organized by business type (niche).
• The Toolkit does not send messages. You copy templates and send them yourself, through your own phone, email, or other tools.
• Regulars Promo is an optional, separate subscription that uses AI to generate promotional images from information you provide.
• The free calculator gives an estimate based only on the numbers you enter. Default values are examples, not results or predictions.

3. Purchases, payment, and Gumroad

• Price: the Toolkit costs US$27, paid once, per business type (niche). Promo costs US$9 per month. Prices shown at checkout control. Taxes may apply.
• Gumroad is our payment processor and merchant of record. Your payment is made to and processed by Gumroad under Gumroad's own terms and privacy policy. We do not receive or store your payment card details. Receipts, invoices, and sales tax handling come from Gumroad.
• We may change prices for future purchases or future billing periods at any time. For Promo, any price change applies from your next billing period after notice, and you can cancel before it takes effect.

4. Access to the Toolkit and your license

• Access: after purchase, you sign in at regularskit.com/app/login with a magic link sent to the email you used at checkout. There is no password. Each link works once and expires. You are responsible for keeping that email inbox secure, and for all activity that happens through sign-in links sent to it.
• Lifetime access, one niche: your purchase gives you access to the business type (niche) you bought only, for the lifetime of the Services. Other niches are separate purchases. "Lifetime" means for as long as we operate the Toolkit. If we permanently shut it down, we will try to give reasonable notice and a way to download or save your content where practical.
• License: subject to these Terms and your payment, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Toolkit content for the internal business purposes of one business (your business), including copying, editing, and sending the templates to your own customers.
• Staff: you may share access with staff of the same business. You are responsible for their use and for their compliance with these Terms. You may not share access with other businesses or people outside your business.
• No resale or redistribution. You may not sell, resell, sublicense, publish, share publicly, give away, upload to a public site or marketplace, or include in any product, course, template pack, or service the Toolkit or any substantial part of it, whether original or modified, free or paid. Sending individual messages to your own customers is allowed.

5. Regulars Promo subscription

• Plan: US$9/month includes 40 image credits per month. In your first month only, you also get 12 bonus credits.
• Rollover: unused monthly credits roll over for 1 month, with a maximum balance of 80 credits. Bonus credits do not count toward the cap and do not roll over. Credits have no cash value and cannot be transferred, sold, or exchanged.
• Auto-renewal: Promo renews automatically each month and is charged through Gumroad until you cancel.
• Cancel anytime online. You can cancel at any time online through Gumroad (the "Manage membership" link in your Gumroad receipt email or your Gumroad Library), or email support@regularskit.com for help. After cancellation, you will not be charged again, and your credits stay usable until the end of the month you already paid for. After that, unused credits expire.
• Cancelling Promo does not affect your Toolkit purchase.
• We may change credit amounts, features, models, or templates for future billing periods.

6. All sales are final (no refund guarantee)

There is no money-back guarantee. All sales are final and non-refundable, including partial months and unused credits, except where a refund is required by applicable law or by Gumroad's policies. Nothing in these Terms limits any refund right you have under mandatory law. If you think you have a billing problem, email support@regularskit.com with your Gumroad receipt.

If a payment is refunded, reversed, or charged back, we may remove access to the related Toolkit and any related Promo credits.

7. Your responsibilities when you send messages

The templates are tools for you to send. You are solely responsible for every message you send and for complying with all laws that apply to you, including: - the Telephone Consumer Protection Act (TCPA) and state telemarketing and texting laws: get proper consent before sending marketing texts, honor STOP and other opt-out requests promptly, include opt-out language, and respect quiet hours (generally only between 8 a.m. and 9 p.m. in the recipient's local time, or stricter where state law requires); - carrier rules and registration requirements (for example, A2P 10DLC) for any texting tool you use; - the CAN-SPAM Act for email: accurate sender information, a working unsubscribe method, and your physical address; - privacy, consumer protection, advertising, review-platform (for example, never rewarding reviews), and professional rules in your industry and state.

Health and dental businesses: Regulars Kit is not a HIPAA covered entity or business associate and does not sign business associate agreements. Do not enter patient information or protected health information (PHI) into the Services, the support chat, ChatGPT prompts, or any of our forms. You are responsible for your own HIPAA and state health privacy compliance, for avoiding medical claims, and for checking your state's rules on referral rewards.

8. AI output

• The Toolkit's prompts are used with third-party AI tools (such as ChatGPT), and Promo uses third-party AI models. AI output can be inaccurate, incomplete, offensive, or similar to content generated for others. You must review and edit all output before using it, and you are responsible for how you use it.
• Ownership of Promo images: as between you and us, you own the images generated for you ("Outputs"), subject to the terms of the underlying AI model providers and to our rights in our templates and the Services. Outputs may not be unique, and we do not guarantee they are protected by copyright.
• Your uploads: you must own or have all necessary rights to any logo, image, name, trademark, or other material you upload or enter ("Inputs"), and your Inputs and Outputs must not infringe anyone's rights or violate any law. You grant us a worldwide, royalty-free license to host, store, process, and transmit your Inputs and Outputs, including to our service providers, only as needed to provide, secure, and improve the Services.

9. Acceptable use

You agree not to: - violate any law or anyone's rights, or send spam or messages without required consent; - use the Services to create deceptive, defamatory, hateful, harassing, sexually explicit, or otherwise unlawful content, or content that infringes intellectual property or impersonates others; - upload malware or attempt to interfere with, overload, or disrupt the Services; - probe, scan, or bypass security, rate limits, credit limits, or access controls, or access niches or accounts you have not paid for; - scrape, copy in bulk, or automatically extract the Toolkit content, or use it to train or build a competing product or AI model; - reverse engineer the Services except where the law expressly allows it; - share sign-in links outside your business, resell access, or abuse the support chat; or - enter passwords, payment card numbers, PHI, or other sensitive personal information into the Services.

10. Intellectual property

The Services and all of their content, including the templates, prompts, guides, plans, calculator, software, design, text, graphics, and the Regulars Kit, Regulars Promo, and The AI Client Toolkit names and logos, are owned by Regulars Kit (Jailton Cardoso) or its licensors and protected by intellectual property laws. Except for the limited license in Section 4 and your ownership of Outputs in Section 8, no rights are granted to you. If you send us feedback or suggestions, we may use them freely without any obligation to you.

11. Third-party services

The Services rely on or refer to third-party services (such as Gumroad, ChatGPT/OpenAI, fal.ai, Cloudflare, Resend, and the tools listed in Bonus #2). Those services are governed by their own terms and policies. We are not responsible for third-party services, their availability, pricing, accuracy, or how they handle your data. Third-party prices and features listed in the Toolkit may change. Listing a tool is not an endorsement.

12. Changes, suspension, and termination

• Changes to the Services: we may add, change, or remove features, templates, niches, models, or content at any time.
• Changes to these Terms: we may update these Terms. We will post the new version with a new effective date and, for material changes, give notice by email or on the site where appropriate. Changes apply going forward. If you keep using the Services after the effective date, you accept the updated Terms. If you do not agree, stop using the Services and cancel Promo.
• Suspension or termination by us: we may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, to prevent fraud, abuse, or harm, or if we stop offering the Services. If we terminate for your breach, you are not entitled to a refund, except where required by law.
• Termination by you: you may stop using the Services at any time and cancel Promo as described in Section 5.
• Sections 6 through 16 survive termination.

13. No guarantee of results; disclaimer of warranties

We do not guarantee any results, including more clients, bookings, reviews, revenue, or savings. Calculator figures are estimates based on your inputs, and examples are illustrative only. Your results depend on your business and how you use the tools.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, ALL CONTENT, AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME, THAT SIGN-IN EMAILS WILL BE DELIVERED, OR THAT CONTENT OR OUTPUT WILL BE ACCURATE, LAWFUL FOR YOUR USE, OR SUITABLE FOR YOUR BUSINESS. NOTHING IN THE SERVICES IS LEGAL, MEDICAL, TAX, OR OTHER PROFESSIONAL ADVICE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: 1. REGULARS KIT, JAILTON CARDOSO, AND THEIR AFFILIATES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, CLIENTS, GOODWILL, DATA, OR BUSINESS, OR FOR FINES, PENALTIES, OR CLAIMS ARISING FROM MESSAGES YOU SEND, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. 2. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS, IN ANY THEORY OF LIABILITY, WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. 3. These limits apply even if a remedy fails of its essential purpose.

Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, for fraud, willful misconduct, or where mandatory consumer law forbids it).

15. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Regulars Kit, Jailton Cardoso, and their affiliates, contractors, and suppliers from and against any claims, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) messages you or your staff send, including any claim under the TCPA, CAN-SPAM, state texting, privacy, or health privacy laws (including HIPAA); (b) your Inputs, uploads, or use of Outputs; (c) your use of the Services or of third-party services; (d) your breach of these Terms; or (e) your violation of any law or third-party right. We may take control of the defense of any claim at your expense, and you will cooperate with us. You may not settle any claim that affects us without our prior written consent.

16. Governing law and disputes

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules. Subject to the next sentence, the courts of Caetité, Bahia, Brazil, have jurisdiction over any dispute relating to these Terms or the Services. This choice of law and forum does not deprive you of any protection or right that the mandatory consumer laws of the place where you live give you and that cannot be waived by contract, including any right to bring a claim in your local courts where those laws guarantee it.

Before filing any claim, you agree to first contact us at support@regularskit.com and try in good faith to resolve the dispute informally for at least 30 days.

17. General

• Entire agreement: these Terms, the Privacy Policy, and any terms shown at checkout are the entire agreement between you and us about the Services.
• Severability: if any provision is held unenforceable, it will be enforced to the maximum extent allowed and the rest will remain in effect.
• No waiver: our failure to enforce a provision is not a waiver.
• Assignment: you may not assign or transfer these Terms without our written consent. We may assign them, including in connection with a merger, sale, or reorganization (for example, to a company we form).
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including outages of hosting, email, payment, or AI providers.
• Electronic notices: you agree to receive notices electronically at your purchase email or on the site.
• Language: these Terms are written in English. If they are translated, the English version controls to the extent permitted by law.
• Relationship: nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
